1. Acceptance
By creating an account or using Vibeshift you agree to these Terms. If you don't agree, don't use the service. If you're using Vibeshift on behalf of a company, you confirm you have the authority to bind that company to these terms.
2. The service
Vibeshift is a web platform provided by Bearacle LLC that aggregates anonymised wellbeing check-ins from the Vibe mobile app into team dashboards and AI briefings. We may add, change, or remove features over time. We'll give reasonable notice for any change that meaningfully affects how you use the service.
3. Your account
You're responsible for keeping your login credentials safe and for the activity that happens under your account. Tell us right away at info@bearacle.com if you suspect unauthorised access.
4. Acceptable use
Don't use Vibeshift to harass, surveil, or identify individual employees against the anonymity guarantees we publish.
Don't attempt to break, reverse-engineer, or circumvent the security of the service.
Don't upload content that is unlawful, infringing, or abusive.
Don't use the service to build a competing product.
5. Privacy
Our handling of personal data is described in the Privacy Policy. By using the service you agree to the practices described there.
6. Plans and billing
Some plans are free, others are paid. Paid plans are billed monthly or annually depending on what you pick. Fees are non-refundable except where required by law. If you cancel, you keep access until the end of your current billing period.
7. Your content
You retain ownership of the data you submit. You grant Bearacle a limited licence to host and process that data solely for the purpose of providing the service to you. Aggregated, fully anonymised metrics may be used to improve the product.
8. Availability and support
We aim for high availability but don't guarantee uninterrupted service. Scheduled maintenance, third-party outages, and unforeseen issues can cause downtime. For paid plans we provide email support with reasonable response times.
9. Termination
You can stop using the service and delete your account at any time. We may suspend or terminate accounts that violate these terms. If we terminate your account for cause, any prepaid fees for the remainder of your term are forfeited.
10. Warranty disclaimer
The service is provided "as is" without warranties of any kind. Bearacle disclaims all implied warranties to the fullest extent allowed by law. Nothing in these terms limits liability that cannot be limited under applicable law.
11. Limitation of liability
To the extent allowed by law, Bearacle is not liable for indirect, incidental, or consequential damages. Our total aggregate liability under these terms is capped at the amount you paid us in the twelve months before the event giving rise to the claim.
12. Governing law
These terms are governed by the laws of the State of Wyoming, USA. Any dispute that can't be resolved informally will be handled exclusively in the courts of Sheridan County, Wyoming.
13. Changes to these terms
We may update these terms as the product evolves. Material changes will be announced by email at least fourteen days before they take effect. Continued use of the service after changes means you accept the new terms.
